DEPARTMENT PROFILE

The Legal and Compliance Department is responsible for ensuring compliance with all of the legal and regulatory requirements to which we are subject, protecting the firm from regulatory and reputational risk across the globe, and strengthening the firm’s culture of compliance. We do this through collaborative partnership with the business units we support by providing thoughtful and timely advice. In addition, the department conducts global monitoring and training activities that detect, address and mitigate regulatory and reputational risk. The advice coupled with the monitoring and training activities provide the framework to support the firm’s business strategy and objectives while maintaining a high standard for integrity.

TEAM BACKGROUND

The Institutional Investment Management Legal team within the Legal and Compliance Group partners closely with the business teams responsible for institutional client onboarding, product creation and structuring, and various strategic projects. The investment products utilized by our institutional clients span separately managed accounts, commingled investment funds and other bespoke and highly negotiated structures. A large portion of our institutional clients’ assets are from ERISA plans, creating unique structuring challenges and opportunities. The team is primarily focused on investors domiciled in the Americas with additional secondary responsibility for certain other international investors.

Responsibilities

ROLE DESCRIPTION

As an attorney within the Institutional Investment Management team, you will execute your responsibilities in partnership with the lead Institutional Investment Management attorney. This is a fast-paced and dynamic environment. To execute your responsibilities, you must be comfortable managing competing priorities and providing thoughtful, well-reasoned guidance in nuanced circumstances so that we meet legal and regulatory requirements, our fiduciary responsibilities, and client expectations. Your exceptional interpersonal communication skills will help you as you collaboratively problem-solve situations to meet the expectations of demanding clients.

Your responsibilities will include but not be limited to:

  • Drafting and negotiation legal agreements related to investment vehicle creation and investment management agreements.
  • Oversee all the legal aspects of onboarding an institutional client.
  • Providing sound and comprehensive legal advice on risk management, investment product creation, client onboarding and strategic projects.

Qualifications

MINIMUM QUALIFICATIONS

  • JD degree and member in good standing with state bar association
  • 2-5+ years of experience in a corporate-oriented practice group
  • Familiarity with electronic document management systems

Preferred Qualifications

  • Admitted to the Tennessee State Bar
  • Prior experience with investment management, private investment funds and/or ERISA
  • Prior Big Law or in-house experience
  • Familiarity with:
    • Separately Managed Accounts
    • Collective Investment Trusts
    • Canadian Trust Funds
    • International Investors
